In the framework of the due diligence carried out by us on behalf of the buyer of a company, we identify and explain the legal risks of a company purchase with the requisite care. We function in this context simultaneously as the coordinator of all transaction-related information, including the due diligence areas, such as tax and financial, not carried out by us ourselves.

In the actual negotiation phase, we assist our clients in an actively strategic manner on the basis of the knowledge acquired in the first stage, thereby guaranteeing that all of the due diligence findings are appropriately reflected in the negotiation outcome or in the company purchase contract. The due diligence findings not only serve in the composition of tailor-made contract clauses, but rather are also used in our clients’ favour for the further tax or post-acquisition optimisation.

We also assist clients which intend to sell or sell part of their company with every phase of the transaction. In addition to the legal advice, this also includes its organisation and coordination. Apart from carrying out a vendor due diligence or a tender process, of course we advise our clients regarding all other organisational issues during that period. We develop a company purchase contract together at an early transaction stage, which then forms the basis for the negotiations with the potential purchaser(s).
